The liability of Corum Entities under or in relation to any warranty or condition implied into these Terms of Use by law which cannot be excluded in Australia, is limited to one or more of the following at the option of Corum: (i) in the case of goods, the replacement or repair of the goods or payment of the cost of having the goods replaced; or (ii) in the case of services, the supply of the services again or payment of the cost of having the services supplied again.
17. Indemnity
You agree to indemnify and hold Corum, its officers, subsidiaries, associates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, (collectively “Corum Entities”) harmless from any claim or demand, including all legal fees and court costs, made by any third party due to or arising out of or in any way connected with (i) your use of or access to the website; (ii) material you submit, post or make available through the website; (iii) your use of the website; (iv) your violation of these Terms of Use or any provision thereof; (v) your breach of any of the representations and warranties herein; (vi) your violation of any rights of another; or (vii) any claim that any of your material provided or submitted by you caused or contributed to damage to or defamed a third party or otherwise failed to comply with these Terms.
You are solely responsible for defending any claims or demands referred to in above, and for payment of losses, costs, damages or expenses resulting from the foregoing to both a third party and to any of the Corum Entities. Each Corum Entity shall have the right to withhold payments to you to offset liabilities and expenses covered hereunder. You must not enter into any proposed settlement or resolution of any claim (whether having been finally adjudicated or otherwise) brought against you or the Corum Entity, if such settlement or resolution results in any obligation or liability for the Corum Entity.
18. General information
These Terms of Use constitute the entire agreement between you and Corum and govern your use of the website, superseding any prior agreements between you and Corum.
You agree that: (i) the website shall be deemed solely based in New South Wales, Australia; and (ii) the website shall be deemed a passive website that does not give rise to personal jurisdiction over Corum, either specific or general, in jurisdictions other than New South Wales, Australia.
These Terms and the relationship between you and Corum shall be governed by the laws of the State of New South Wales, Australia without regard to its conflict of law provisions. You and Corum agree to submit to the personal and exclusive jurisdiction of the courts of New South Wales, Australia.
The failure of Corum to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Use remain in full force and effect.
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the website or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
19. Assignment
These Terms of Use and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Corum without restriction.
